1. Agreement to Terms
Welcome to UpSpeech. These Terms of Service ("Terms") govern your access to and use of the UpSpeech platform, including our website, web application, and related services (collectively, the "Service").
By accessing or using UpSpeech, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
"UpSpeech," "we," "our," or "us" refers to the UpSpeech platform and its operators.
"You" or "User" refers to the individual or organization accessing or using the Service.
2. Service Description
UpSpeech is a multi-tenant software-as-a-service (SaaS) platform designed for speech-language pathologists (SLPs) and individuals receiving stuttering therapy. The Service provides:
- AI-powered report generation - Automated transcription and clinical report writing using artificial intelligence
- Speech analysis tools - Disfluency detection, annotation, and statistical analysis of speech recordings
- Patient-therapist collaboration - Tools for therapists to manage patient assignments, exercises, and progress tracking
- Exercise library - Mini games and consultation exercises for stuttering therapy practice
- Progress monitoring - Tracking of patient progress over time with statistics and visualizations
- Multi-tenant organization - Secure, isolated environments for healthcare organizations and their users
The Service is provided "as is" and may be modified, updated, or discontinued at our discretion.
3. Eligibility
3.1 Age Requirements
You must be at least 18 years of age to create an account and use the Service independently.
Users aged 13 to 17 may use the Service only under the supervision of a parent, legal guardian, or licensed healthcare professional who has agreed to these Terms and provided verifiable consent. The supervising adult is responsible for the minor's use of the Service and any content uploaded on their behalf.
The Service is not intended for children under 13. We do not knowingly collect personal information from children under 13.
3.2 Professional Qualifications
Users who register as "therapists" represent and warrant that they:
- Hold valid credentials and licenses as speech-language pathologists or equivalent healthcare professionals
- Are authorized to practice speech therapy in their jurisdiction
- Comply with all applicable professional standards, ethics codes, and regulations
UpSpeech does not verify professional credentials. Organizations are responsible for vetting their therapists.
3.3 Authority to Agree
By using the Service, you represent that you have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4. Account Registration and Security
4.1 Account Creation
To use certain features of the Service, you must create an account by providing:
- A valid email address
- A secure password
- Your full name
- Your role within the platform (therapist, client/patient, admin, etc.)
You agree to provide accurate, current, and complete information and to update this information as necessary.
4.2 Account Security
You are responsible for:
- Maintaining confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
Do not share your account credentials with others. Each user must have their own account.
4.3 Multi-Tenant Organizations
Most users belong to an organization ("tenant") within UpSpeech:
- Organization admins control user management, settings, and branding within their tenant
- Data isolation - Your organization's data is isolated from other organizations
- Organization policies - Your use may be subject to additional policies set by your organization
- Termination - If your organization terminates its use of UpSpeech, your account may be deleted
5. User Roles and Responsibilities
UpSpeech supports multiple user roles, each with different permissions and responsibilities:
5.1 Platform Owner (UpSpeech Administrators)
- Cross-tenant access for system administration and support
- Responsible for platform maintenance, security, and compliance
- Can access any data for support, debugging, or legal compliance purposes
5.2 Organization Admin
- Manages users within their organization
- Configures organization settings, branding, and preferences
- Views organization-wide analytics and reports
- Cannot access data from other organizations
5.3 Therapist (Speech-Language Pathologist)
Therapists are professional users who:
- Upload and analyze patient audio recordings
- Generate clinical reports using AI tools
- Assign exercises to patients
- Monitor patient progress and provide feedback
- Maintain professional standards and ethical obligations
- Are solely responsible for clinical decisions, diagnoses, and treatment plans
Important: UpSpeech provides tools to assist clinical workflows, but does not provide medical advice or replace professional judgment.
5.4 Client/Patient
Patients are individuals receiving speech therapy who:
- Upload recordings of their speech practice
- Complete exercises assigned by their therapist
- View their own reports and progress
- Can only access their own data (cannot view other patients' information)
Patient consent: By uploading recordings, you confirm that you (or your parent/legal guardian, if you are under 18) consent to the processing of your speech data.
5.5 Member
Members have access to basic platform features similar to clients, with potential for expanded capabilities.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms.
6.1 Permitted Uses
- Clinical documentation and report generation for stuttering therapy
- Educational use by licensed speech-language pathologists
- Practice and progress tracking by patients under therapist guidance
- Research purposes with appropriate consent and ethical approval
6.2 Prohibited Activities
You may NOT use the Service to:
- Violate laws - Engage in any illegal activity or violate any applicable laws or regulations
- Infringe rights - Violate intellectual property, privacy, or other rights of others
- Harm others - Upload content that is defamatory, harassing, threatening, hateful, or discriminatory
- Unauthorized access - Access another user's account, data, or any part of the system without authorization
- System interference - Interfere with or disrupt the Service, servers, or networks
- Automated access - Use bots, scrapers, or automated tools to access the Service without permission
- Reverse engineering - Decompile, reverse engineer, or attempt to extract source code
- Fraudulent activity - Impersonate others, provide false information, or engage in fraud
- Inappropriate content - Upload recordings or content that is obscene, pornographic, or contains violent or graphic content unrelated to legitimate therapy
- Spam or solicitation - Send unsolicited communications or advertisements
- Misuse of AI tools - Abuse the AI report generation features for purposes other than legitimate clinical documentation
- Data mining - Extract or harvest data from the platform for unauthorized purposes
6.3 Content Restrictions
All uploaded content (audio, video, text) must:
- Comply with applicable healthcare privacy laws (such as obtaining patient consent)
- Be relevant to speech therapy and clinical practice
- Not contain malware, viruses, or harmful code
- Not violate the rights of any third party
7. Content and Intellectual Property
7.1 Your Content
"Your Content" means any audio recordings, videos, text, reports, notes, or other materials you upload, create, or submit through the Service.
You retain ownership of Your Content. By uploading Your Content, you grant UpSpeech a limited, non-exclusive, worldwide, royalty-free license to:
- Store, process, and display Your Content to provide the Service
- Transmit Your Content to third-party AI services (ElevenLabs, Google Gemini) for transcription and analysis
- Create derivatives (transcriptions, reports, annotations) from Your Content
- Back up Your Content for data protection and disaster recovery
This license ends when you delete Your Content or terminate your account, except for:
- Content retained in backups (deleted within 90 days)
- Content we must retain for legal or regulatory compliance
- Anonymized data used for service improvement
7.2 AI-Generated Content
Content generated by our AI tools (transcriptions, reports, disfluency annotations) is provided to you as part of the Service. You may use this generated content for clinical purposes, but:
- You are responsible for reviewing and verifying the accuracy of AI-generated content
- AI outputs are not guaranteed to be error-free and should not be relied upon without professional review
- You may edit, modify, or discard AI-generated content as appropriate
7.3 UpSpeech Intellectual Property
The Service, including all software, designs, text, graphics, logos, and other content provided by UpSpeech (but not Your Content), is owned by UpSpeech and protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not:
- Copy, modify, or create derivative works of the Service
- Distribute, sell, lease, or sublicense access to the Service
- Remove or alter any proprietary notices on the Service
- Use UpSpeech trademarks without prior written permission
7.4 Feedback
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant UpSpeech an unlimited, irrevocable, perpetual, royalty-free right to use, modify, and incorporate such Feedback into our products and services without any obligation to you.
8. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information.
Key points:
- Audio recordings are processed by third-party AI services (ElevenLabs) for transcription
- Storage - Files are stored securely in Google Cloud Storage
- Multi-tenant isolation - Your organization's data is isolated from other organizations
- Consent - You are responsible for obtaining necessary consent before uploading patient recordings
- Data rights - You have rights to access, correct, and delete your data (see Privacy Policy)
By using the Service, you consent to data processing as described in the Privacy Policy.
9. Third-Party Services
UpSpeech integrates with third-party services to provide functionality:
9.1 ElevenLabs (Speech-to-Text)
We use ElevenLabs for audio transcription (Scribe v2 speech-to-text). Your audio recordings are sent to ElevenLabs for processing. See ElevenLabs' terms and privacy policy:
9.2 Google AI — Gemini (Report Generation)
We use Google Gemini language models for clinical report generation and AI-assisted features. See Google's terms and privacy policy:
9.3 Google Cloud Storage
We use Google Cloud Platform to store audio/video files and images. See Google's terms:
9.4 Railway (Hosting)
Our application is hosted on Railway. See Railway's terms:
We are not responsible for the practices or policies of third-party services. Your use of third-party services is subject to their respective terms.
10. Healthcare and Clinical Use Disclaimers
10.1 Not Medical Advice
UPSPEECH IS A CLINICAL WORKFLOW TOOL, NOT A MEDICAL DEVICE OR DIAGNOSTIC TOOL.
The Service provides tools to assist speech-language pathologists but does not:
- Diagnose stuttering or any medical condition
- Provide medical advice, treatment recommendations, or clinical decisions
- Replace the professional judgment of a qualified healthcare provider
10.2 AI Limitations
Our AI-powered features (transcription, report generation, disfluency detection) are:
- Assistive tools to support clinical workflows
- Not perfect - May contain errors, inaccuracies, or omissions
- Not diagnostic - Should not be used as the sole basis for clinical decisions
Therapists are solely responsible for:
- Reviewing and verifying all AI-generated content
- Making independent clinical judgments
- Ensuring accuracy of reports and documentation
- Complying with professional standards and regulations
10.3 Professional Responsibility
Licensed healthcare professionals using UpSpeech:
- Remain solely responsible for patient care and clinical decisions
- Must comply with all applicable laws, regulations, and professional standards
- Should use their professional judgment to review and validate all AI-generated content
- Are responsible for obtaining informed consent from patients
- Must maintain appropriate malpractice insurance
10.4 Patient Consent and Confidentiality
Therapists and organizations are responsible for:
- Obtaining informed consent before uploading patient recordings
- Complying with healthcare privacy laws (e.g., informed consent requirements)
- Maintaining patient confidentiality
- Ensuring appropriate use of patient data
11. Payment and Subscriptions
11.1 Fees
Access to the Service may require payment of fees as set out in a separate agreement, order form, or pricing page provided by UpSpeech. If no separate agreement exists, the Service is provided under the terms communicated to you at the time of registration.
11.2 Changes to Pricing
We may update our pricing from time to time. We will provide at least 30 days' written notice before any pricing change takes effect for existing users. If you do not agree to the updated pricing, you may terminate your account before the change takes effect.
11.3 Payment Terms
Where fees apply, additional terms will govern:
- Billing cycles and accepted payment methods
- Refund and cancellation policies
- Automatic renewal and cancellation procedures
These terms will be communicated in the applicable agreement or at the point of purchase.
12. Service Availability and Modifications
12.1 Service Availability
We strive to provide reliable service, but we do not guarantee:
- Uninterrupted access - The Service may experience downtime for maintenance, updates, or unforeseen issues
- Error-free operation - Software may contain bugs or errors
- Permanent availability - We may modify, suspend, or discontinue features at any time
12.2 Modifications to Service
We reserve the right to:
- Add, modify, or remove features
- Change how the Service operates
- Update AI models, algorithms, or processing methods
- Adjust usage limits or restrictions
We will provide reasonable notice of material changes when feasible.
12.3 No Uptime Guarantee
We do not provide service level agreements (SLAs) or uptime guarantees. The Service is provided on an "as is" and "as available" basis.
13. Termination
13.1 Termination by You
You may terminate your account at any time by:
Upon termination:
- Your access to the Service will be immediately revoked
- Your data will be deleted according to our data retention policy (see Privacy Policy)
- Backups may retain data for up to 90 days before permanent deletion
13.2 Termination by Us
We may suspend or terminate your access to the Service, with or without notice, if:
- You violate these Terms or our Acceptable Use Policy
- You engage in fraudulent, abusive, or illegal activity
- Your account poses a security risk
- We are required to do so by law
- Your organization terminates its subscription (when applicable)
- We discontinue the Service entirely
13.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- You must stop using the Service and delete any downloaded materials
- We may delete Your Content in accordance with our data retention policies
- Provisions that by their nature should survive (warranties, indemnification, limitations of liability) will survive termination
14. Disclaimers and Limitations of Liability
14.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We disclaim all warranties, including:
- Merchantability - Fitness for a particular purpose
- Accuracy - Of AI-generated transcriptions, reports, or analysis
- Non-infringement - That the Service does not infringe third-party rights
- Reliability - That the Service will be uninterrupted, secure, or error-free
- Data integrity - That Your Content will not be lost, corrupted, or accessed by unauthorized parties
You use the Service at your own risk.
14.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPSPEECH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
Indirect, incidental, consequential, special, or punitive damages, including:
- Lost profits or revenue
- Loss of data or content
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
Any damages arising from:
- Use or inability to use the Service
- Errors, inaccuracies, or omissions in AI-generated content
- Unauthorized access to your data
- Third-party conduct or content
- Service interruptions or security breaches
Total aggregate liability for all claims related to the Service shall not exceed:
- €100 EUR, or
- The amount you paid to UpSpeech in the 12 months before the claim (whichever is greater)
This limitation applies even if we have been advised of the possibility of such damages.
14.3 Jurisdictional Limitations
Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless UpSpeech, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service - Including any actions taken under your account
- Your Content - Any claims that Your Content infringes or violates the rights of others
- Violation of Terms - Any breach of these Terms or our policies
- Violation of laws - Any violation of applicable laws or regulations
- Professional malpractice - Clinical decisions, diagnoses, or treatment (for healthcare professionals)
- Lack of consent - Uploading patient data without proper consent
This indemnification obligation survives termination of your account or these Terms.
16. Dispute Resolution
16.1 Informal Resolution
Before filing any formal dispute, you agree to contact us at hello@upspeech.app to attempt to resolve the dispute informally. We will work with you in good faith to resolve the issue.
16.2 Governing Law
These Terms are governed by and construed in accordance with the laws of Portugal and applicable European Union law, without regard to conflict of law provisions.
16.3 Jurisdiction and Venue
Any legal action or proceeding relating to these Terms shall be brought exclusively in the courts of Lisbon, Portugal, and you consent to personal jurisdiction in these courts.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and UpSpeech regarding the Service and supersede all prior agreements and understandings.
17.2 Changes to Terms
We may update these Terms from time to time. When we make material changes, we will:
- Update the "Last Updated" date at the top
- Notify you via email or a prominent notice in the platform
- Provide at least 30 days' notice for material changes (when feasible)
Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree, you must stop using the Service.
17.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
17.4 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right. Any waiver must be in writing and signed by us.
17.5 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any successor, affiliate, or acquirer without your consent.
17.6 Force Majeure
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
17.7 Export Controls
You agree not to export or re-export the Service or any part thereof in violation of applicable export control laws and regulations.

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
By using UpSpeech, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
